Cycling Canada is accepting nominations for two director-at-large positions on its Board of Directors ahead of its annual meeting on Sept. 1.
The move comes weeks after two members resigned their positions on the board after the controversial decision to not send the women’s team pursuit squad to the world championships in Shanghai later this year. It should be noted, however, this search for new directors-at-large is unrelated to Becka Borody and Marc Gaudret resigning from their seats.
Cycling Canada’s bylaws provide for seven elected directors-at-large, one elected national team athlete representative, and one optional board-appointed director. The optional seat does not have to be filled.
Vacancies among elected directors can be filled temporarily by the board, but if they are not, the bylaws say they are to be filled at the next members’ meeting. In other words, the board can function with temporary vacancies, but the bylaws do not appear to allow Cycling Canada to simply leave elected seats vacant indefinitely.
What is Cycling Canada looking for
The federation is looking to add people with experience in finance or fundraising, saying those are the priority areas for this year’s election. Candidates with a CPA or similar financial designation, along with those who have worked in sponsorship or donor development, are encouraged to apply.
The board controls the organization’s governance, including approving budgets, setting policy and hiring the CEO.
The two available positions carry three-year terms. Board members meet by video conference about once a month, attend one in-person meeting each year and generally spend between five and eight hours a month on board work. The roles are unpaid, although approved travel and other board-related expenses are reimbursed.
